Terms of Service

These Terms of Service ("Terms") govern your access to, and use of the Zeduno platform operated by Zeduno Technologies Private Limited ("Zeduno", "we", "us", or "our"). By accessing or using Zeduno, you agree to be bound by these Terms.

1. Definitions

  • Platform means the Zeduno website, web application, APIs, and all associated services at zeduno.com
  • Employer means any company or individual that subscribes to Zeduno to manage their hiring process
  • Authorised User means any individual granted access to an Employer account
  • Candidate means any individual who applies through Zeduno Apply or participates in a Zuno interview or AI screening call
  • Zuno means the AI interview companion providing live audio transcription and real-time interview assistance
  • Zed means the AI hiring assistant handling hiring workflows via conversational interaction
  • Zuno Credit means one unit for one Zuno-assisted interview of up to 45 minutes including the generated report
  • Employer Data means all data uploaded, migrated, or generated by the Employer through the platform
  • Beta Features means features designated as beta, preview, experimental, or early access

2. Eligibility and Account Registration

  • You must be at least 18 years of age and have authority to bind your organisation
  • You must provide accurate, complete, and current information when creating an account
  • Each account may only be used by the organisation for which it was registered
  • You are responsible for maintaining the confidentiality of your credentials and all activity under your account
  • Notify us immediately at support@zeduno.com of any unauthorised account access

3. Account Ownership and Administration

3.1 Account ownership

Employer accounts are owned by the subscribing organisation. If an Authorised User leaves the organisation, the organisation retains ownership of the account and all associated data.

3.2 Administrator responsibilities

  • Administrators are responsible for managing Authorised User access
  • Employers are liable for all actions taken by their Authorised Users on the platform
  • Employers must ensure Authorised Users comply with these Terms
  • Account credentials may not be shared outside the subscribing organisation

4. Subscription Plans and Billing

4.1 Available plans

4.2 Billing terms

  • Subscriptions are billed monthly or annually in advance
  • Annual subscriptions are billed at ten times the monthly rate, equivalent to two months at no additional charge
  • All prices are in Indian Rupees (INR) exclusive of GST, which is added at the prevailing rate
  • Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date
  • Zeduno reserves the right to change pricing with at least 30 days written notice. Changes take effect from your next renewal date

4.3 Failed payments

  • Zeduno will attempt to collect failed payments up to two additional times over 7 days
  • After this period, your account may be suspended until payment is received
  • Data associated with a suspended account is retained for 30 days before potential permanent termination

4.4 Zuno Credits

  • Credits are consumed each time a Zuno-assisted interview is conducted, regardless of hiring outcome
  • Unused credits do not roll over at the end of a billing cycle
  • Additional credits may be purchased at the rates on our pricing page
  • Credits are non-refundable once consumed
  • Purchased additional credits expire 12 months from date of purchase

4.5 Cancellation and refunds

  • You may cancel at any time from account settings. Access continues until the end of the current billing period
  • Monthly subscriptions — no refund for the current billing period upon cancellation
  • Annual subscriptions — pro-rated refund for wholly unused months if cancelled within 30 days of renewal. No refund after 30 days
  • Onboarding and data migration fees are non-refundable once migration has commenced
  • Credits purchased as add-ons are non-refundable
  • Duplicate or erroneous payments will be refunded in full on written request to billing@zeduno.com
  • Prolonged unplanned outages exceeding 24 continuous hours caused by Zeduno: affected customers may request a service credit equivalent to the downtime period
  • Enterprise agreement refund terms are governed by the individual enterprise agreement

5. Acceptable Use

You agree not to use the platform to:

  • Discriminate against candidates on the basis of any protected characteristic under Indian law
  • Process candidate data beyond what is necessary for legitimate hiring purposes
  • Conduct Zuno-assisted interviews without first notifying candidates that AI is active
  • Reverse-engineer, decompile, or extract source code from the platform
  • Scrape or systematically extract data without written authorisation
  • Upload malicious code, viruses, or malware
  • Send spam, unsolicited communications, or harass any individual
  • Misrepresent your identity or organisation
  • Use the platform for any purpose other than legitimate employment hiring
  • Abuse the platform including through fraudulent activity, automated bulk actions, or any action that disproportionately burdens the platform infrastructure

6. Employer Responsibilities

6.1 Candidate notification and consent

  • Notify candidates before any Zuno session or AI screening call that AI is active
  • Obtain any consents required by applicable law for audio processing and AI evaluation
  • Maintain records of candidate consent where required by law

6.2 Employer-migrated data

  • Employers warrant they have the legal right to share and process migrated data
  • Data was collected with appropriate notice and consent from candidates where required by law
  • Data does not infringe any third-party intellectual property or privacy rights

6.3 Hiring decisions

All hiring decisions are the sole responsibility of the employer. AI-generated outputs are advisory only and do not constitute employment advice. Employers must review all AI outputs independently before making any hiring decisions.

6.4 Compliance

Employers are solely responsible for ensuring their use of Zeduno complies with all applicable employment, anti-discrimination, data protection, and labour laws.

7. Beta Features

Zeduno may make certain features available such as Beta, Preview, Experimental, or Early Access. You acknowledge that:

  • Beta Features are provided "as is" and "as available" without any warranty
  • Beta Features may be incomplete, contain errors, or be discontinued at any time without notice
  • Zeduno excludes all liability for any loss or damage arising from your use of Beta Features
  • Feedback provided about Beta Features is governed by Section 13 of these Terms

8. API Usage

Where Zeduno provides API access, the following terms apply:

  • API access is subject to rate limits as specified in our developer documentation at zeduno.com/docs
  • You must not exceed published rate limits or attempt to circumvent them
  • API keys are confidential and must not be shared or exposed in public repositories
  • Zeduno may revoke API keys immediately if they are compromised, abused, or used in violation of these Terms
  • Automated bulk operations via API must comply with published rate limits and must not disproportionately burden platform infrastructure
  • Zeduno reserves the right to modify, restrict, or discontinue API access with reasonable notice

9. Confidentiality

9.1 Mutual obligations

Each party agrees to keep confidential all non-public information disclosed by the other party that is identified as confidential, or that a reasonable person would understand to be confidential.

9.2 Employer Data

Zeduno will keep all Employer Data, candidate information, job descriptions, compensation data, and internal communications confidential and will not disclose them to any third party except as described in our Privacy Policy or as required by law.

9.3 Exclusions

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available without breach of these Terms; (b) was known to the receiving party before disclosure; (c) is independently developed without use of confidential information; or (d) must be disclosed by law or court order.

10. Data Ownership and License

  • Employers retain full ownership of all Employer Data
  • Employers grant Zeduno a limited non-exclusive license to process Employer Data solely to provide the services
  • Zeduno may use aggregated, anonymised, de-identified data that cannot be associated with any individual or organisation for platform improvement and research
  • Upon termination, Employer Data is available for export in CSV, JSON, or ZIP format for 30 days, then permanently deleted or anonymised

11. Intellectual Property

  • Zeduno, Zed, Zuno, Zeduno Apply, and all associated product names and features are proprietary to Zeduno Technologies Private Limited
  • The platform, code, AI models, algorithms, workflows, and design are protected by applicable intellectual property laws
  • You may not copy, modify, distribute, or create derivative works of any part of the platform without written consent

12. AI-Generated Content Disclaimer

  • AI-generated content may contain errors, omissions, or inaccuracies
  • AI scores and recommendations are not a substitute for human judgment
  • Zeduno does not warrant the accuracy, completeness, or fitness for purpose of any AI-generated content
  • AI outputs may reflect biases present in the input data
  • All AI-generated content should be reviewed critically and independently before being relied upon

13. Feedback Licence

If you provide Zeduno with feedback, suggestions, ideas, or feature requests regarding the platform ("Feedback"), you grant Zeduno a perpetual, irrevocable, worldwide, royalty-free licence to use, incorporate, and exploit that Feedback in any way without restriction or obligation to you. Zeduno is under no obligation to implement any Feedback provided.

14. Export Control

You agree to comply with all applicable export control and trade sanction laws, including the Foreign Trade Policy of India and any applicable international regulations. You represent that you are not located in, under the control of, or a national of any country subject to applicable trade sanctions, and that you will not use the platform in violation of any export control law.

15. Open Source Software

The Zeduno platform may include open source software components that are subject to their respective licences. A list of open source components and applicable licences is available at zeduno.com/open-source. Your use of the platform does not grant you any rights under any open source licence beyond those set out therein.

16. Service Availability and Third-Party Services

16.1 Service availability

Zeduno aims to provide at least 99% platform uptime per calendar month, excluding scheduled maintenance. Scheduled maintenance will be communicated at least 48 hours in advance where practicable, and will where possible be conducted during off-peak hours (00:00–06:00 IST). In the event of an unplanned outage exceeding 24 continuous hours, customers may request a service credit as described in Section 4.5.

16.2 Third-party services

Certain platform features depend on third-party services including Google Cloud, Anthropic, and AWS. Zeduno is not responsible for service interruptions, data loss, or failures caused by those third-party services, provided Zeduno has taken reasonable steps to manage those dependencies.

16.3 Force majeure

Zeduno will not be liable for failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, governmental action, war, civil unrest, internet or telecommunications failures, or failures of third-party service providers.

17. Suspension for Abuse

Zeduno may suspend access to the platform immediately and without prior notice if:

  • Your account is used to send spam, phishing communications, or unsolicited bulk messages
  • Malware, ransomware, or malicious code is uploaded through your account
  • Fraudulent activity is detected, including misrepresentation of identity or payment fraud
  • Your account is used in a manner that poses a security threat to the platform or other users
  • Your account is subject to a valid legal order requiring suspension
  • API rate limits are systematically exceeded or circumvented

Where practicable, Zeduno will notify you of suspension and the reason. Where permitted by law, we will provide you with an opportunity to respond before permanent termination.

18. Limitation of Liability

  • Zeduno's total aggregate liability for all claims in any 12-month period shall not exceed the total fees paid by you to Zeduno in the 3 months immediately preceding the event giving rise to the claim
  • Zeduno shall not be liable for indirect, incidental, special, consequential, or punitive damages including loss of revenue, profits, data, or business opportunity
  • Zeduno is not liable for any hiring outcome, employment dispute, regulatory penalty, or discrimination claim arising from use of the platform or AI-generated content
  • Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot be excluded by law

Enterprise customers may negotiate separate liability caps for confidentiality breaches, data protection incidents, security breaches, or IP infringement as part of their enterprise agreement.

19. Indemnification

You agree to indemnify and hold harmless Zeduno and its directors, officers, employees, and agents from third-party claims arising out of:

  • Your use of the platform in violation of these Terms or applicable law
  • Your failure to notify candidates that AI is active before a Zuno session or screening call
  • Your failure to obtain required consents from candidates
  • Data you upload or migrate that infringes third-party rights

This indemnification does not apply to claims arising from Zeduno's own negligence, wilful misconduct, or breach of these Terms.

20. Termination

  • You may cancel your subscription at any time from account settings. Access continues until end of the current billing period
  • Zeduno may suspend access immediately for breach of these Terms, non-payment, or conduct posing risk to the platform
  • Zeduno may terminate these Terms with 30 days written notice for any other reason
  • Upon termination, Employer Data is available for export in CSV, JSON, or ZIP format for 30 days, then permanently deleted or anonymised
  • Sections 9, 10, 11, 12, 13, 14, 18, 19, and 22 survive termination

21. Changes to These Terms

We will notify you of material changes via email and a platform notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance. If you disagree, you must cancel your subscription before the effective date.

22. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising out of these Terms shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India. Before commencing legal proceedings, both parties agree to attempt resolution through good-faith negotiation for 30 days from written notice of the dispute.

23. General

  • Entire agreement — these Terms, Privacy Policy, and any enterprise agreement constitute the entire agreement between the parties
  • Severability — if any provision is invalid or unenforceable, the remaining provisions continue in full force
  • Waiver — failure to enforce any provision does not constitute a waiver
  • Assignment — you may not assign rights or obligations without Zeduno's prior written consent
  • Notices — all legal notices to Zeduno must be sent to legal@zeduno.com
